1. Acceptance of Terms

By accessing or using the OZ 2.0 Agency platform, website, tools, documentation, or any associated services (collectively, the “Platform”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform. These Terms constitute a legally binding agreement between you (“User”) and Advanced AI Solutions, Inc. (“Company,” “we,” “us,” or “our”).

We reserve the right to modify these Terms at any time. Continued use of the Platform after any modification constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or prominent notice on the Platform.

OZ 2.0 Agency is an intelligence and research platform only. Nothing on this Platform constitutes, and nothing should be construed as:

  • Financial advice, investment advice, or a recommendation to buy, sell, or hold any security or investment;
  • Legal advice or the creation of an attorney-client relationship;
  • Tax advice, tax planning guidance, or a substitute for consultation with a qualified tax professional;
  • An offer, solicitation, or recommendation to invest in any Qualified Opportunity Fund (QOF), Opportunity Zone project, real estate investment, or any other financial instrument.

Investment in Opportunity Zones is highly speculative and illiquid. Investments may result in the total loss of principal. Past performance, projected returns, or case studies presented on this Platform are not indicative of future results. 3. AI-Generated Content Disclaimer

This Platform uses artificial intelligence to generate, summarize, and present content, including but not limited to research summaries, compliance analyses, deal scoring outputs, and capital stack suggestions. AI-generated content is provided for informational purposes only and may be incomplete, inaccurate, outdated, or unsuitable for your specific circumstances.

The Company makes no representations or warranties regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any AI-generated content. You acknowledge that AI systems can produce errors, hallucinations, and outputs that do not reflect current law, regulation, or market conditions. You assume all risk associated with reliance on AI-generated content.

4. Eligibility and Account Registration

The Platform is intended solely for use by individuals who are at least 18 years of age and have the legal capacity to enter into binding contracts. By creating an account, you represent and warrant that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use of your account. The Company is not liable for any loss or damage arising from your failure to protect your account credentials.

The Company reserves the right to suspend or terminate any account at its sole discretion, including for violation of these Terms, suspected fraudulent activity, or any conduct deemed harmful to the Platform or its users.

5. Intellectual Property Rights

All content on the Platform, including but not limited to text, graphics, logos, software, data compilations, AI-generated outputs, tools, and documentation, is the exclusive property of Advanced AI Solutions, Inc. or its licensors and is protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial informational purposes. This license does not permit you to:

  • Copy, reproduce, distribute, or create derivative works from any Platform content;
  • Reverse engineer, decompile, or disassemble any software or tools on the Platform;
  • Use any automated scraping, crawling, or data extraction tools on the Platform;
  • Resell, sublicense, or commercially exploit any Platform content or outputs;
  • Remove or alter any proprietary notices, labels, or marks on the Platform.

Third-party research documents, reports, and publications referenced or summarized on this Platform remain the intellectual property of their respective owners. Summaries and analyses provided by the Platform do not constitute reproduction of copyrighted works and are provided under fair use principles for educational and informational purposes.

6. Prohibited Conduct

You agree not to use the Platform for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Platform. Prohibited conduct includes, without limitation:

  • Violating any applicable federal, state, or local law or regulation, including securities laws;
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
  • Uploading or transmitting viruses, malware, or any other malicious code;
  • Attempting to gain unauthorized access to any portion of the Platform or its related systems;
  • Using the Platform to facilitate market manipulation, securities fraud, or any other financial crime;
  • Harassing, threatening, or intimidating other users or Company personnel;
  • Using the Platform to solicit investments without proper regulatory authorization.

7. Third-Party Links and Content

The Platform may contain links to third-party websites, resources, tools, and services. These links are provided solely for your convenience and do not constitute an endorsement, sponsorship, or recommendation by the Company. The Company has no control over third-party content and accepts no responsibility for the accuracy, legality, or appropriateness of any third-party content.

Your interactions with third-party websites and services are governed by those parties’ own terms and privacy policies. The Company disclaims all liability for any loss or damage arising from your use of third-party resources.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ADVANCED AI SOLUTIONS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, INVESTMENT LOSSES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The Company’s total cumulative liability to you for all claims arising from or related to your use of the Platform shall not exceed the greater of (a) the total fees paid by you to the Company in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the Company’s liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Advanced AI Solutions, Inc. and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any investment decision you make in reliance on Platform content; or (e) your infringement of any third-party intellectual property or other rights.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.

12. Termination

The Company reserves the right to terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease. Sections 2, 3, 5, 8, 9, 10, and 11 shall survive any termination of these Terms.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Advanced AI Solutions, Inc. with respect to your use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
